Transaction Advisory
Financial due diligence and deal support, priced as a fee and never as a share of the deal.
In a transaction, the headline number is rarely the number that matters. What matters is which earnings actually repeat, what working capital genuinely looks like across a full cycle rather than on one convenient date, and which balances are sitting there because nobody wanted to write them off.
We charge a fixed or hourly fee, never a percentage of deal value. Our incentive is to tell you what we find, including when what we find is a reason not to proceed.
What this covers
Financial due diligence
Analysis of historical performance, quality of earnings, and whether the numbers presented reflect how the business actually trades.
Working capital analysis
Normalised working capital across a full cycle, which is where a surprising amount of value is won and lost after completion.
Adjustment review
Every proposed adjustment to earnings examined individually, with a view on whether it is genuinely one off.
Vendor side preparation
Getting your own numbers ready before a buyer examines them, so surprises are found by you rather than by them.
Forecast review
Independent assessment of whether management projections are supported by what the business has actually done.
Post deal support
Opening balance sheet work, completion accounts and integration of finance reporting.

- The adjusted earnings figure has a long list of adjustments and you want them tested
- A deal is progressing and your own finance team does not have capacity to run diligence alongside their day job
